For the duration of the separately agreed warranty period for (each of) the Equipment, the Service “Bronto One Plus” is provided free of charge to the Customer. Any other possible Services during the warranty period for the Equipment in question shall be invoiced separately. For clarification, the Customer is entitled to grant sub-user rights to the Customer’s account in the Services for its employees. Any data added by the Customer to the Services and/or Portal or Customer-specific data generated by the Services and/or Portal is and shall remain the exclusive property of the Customer. The Supplier may (i) use such data for the provision of the Services and/or Portal to the Customer and (ii) freely exploit (including without limitation to use, modify, have modified, copy etc. or have the same done by its subcontractors on behalf of the Supplier) such data for the development of the Services, its products and its business and for research and evaluation and, provided that the Customer cannot be identified from the data, for other purposes such as marketing. Furthermore, the Supplier shall be entitled to aggregate such data and make aggregated data, which does not allow identification of granular data, available to third parties."}]},{"type":"paragraph","attrs":{"localId":"1293958b-7221-4a40-a504-c398af7b585c"},"content":[{"type":"text","text":"In case the Customer transfers its Equipment, to which this Agreement relates, to a third party, the Customer agrees and accepts that the Supplier may transfer any service logs related to the Equipment to such third party without obtaining a separate consent from the Customer. The terms set out in this Clause 6 below shall apply to any processing performed by the Supplier on behalf of the Customer in connection with the Services. The Customer hereby agrees to keep the amount of personal data at minimum and not to submit any special categories of personal data (as defined in the EU’s General Data Protection Regulation 679/2016, such as health data) to the Services."}]},{"type":"paragraph","attrs":{"localId":"97e99fd6-6f6b-458d-a77e-754c51fe457c"},"content":[{"type":"text","text":"Personal data and processing","marks":[{"type":"underline"}]},{"type":"text","text":". The personal data processed by the Supplier may include names, email addresses, training information and other similar information of the Customer’s employees or any other personal data that the Customer chooses to submit to the Services. The Supplier processes personal data only for the purpose of providing the Services to the Customer and for the development of the Services, and only for as long as the Supplier provides the Services to the Customer. The Supplier’s processing operations consist mainly of storing the personal data at the Portal."}]},{"type":"paragraph","attrs":{"localId":"a9dffed2-27df-4c2c-bf0b-59a60d9aba41"},"content":[{"type":"text","text":"The Supplier shall process the personal data only in accordance with this Clause 6, the applicable data protection legislation and possible written additional instructions given by the Customer. Should the Customer provide instructions to the Supplier, the Parties shall negotiate on the price effects of such instructions before implementing the instructions. The Supplier is entitled to anonymize the personal data and use the anonymized data for example for the development of its business and services."}]},{"type":"paragraph","attrs":{"localId":"aedfdc72-bfa4-48c9-af82-64616eebc86a"},"content":[{"type":"text","text":"Both Parties shall be liable for the compliance with the applicable data protection legislation for their own part."}]},{"type":"paragraph","attrs":{"localId":"18154108-58b5-4098-aba4-08a37f8a3788"},"content":[{"type":"text","text":"The Supplier’s obligations.","marks":[{"type":"underline"}]},{"type":"text","text":" The Supplier shall:"}]},{"type":"paragraph","attrs":{"localId":"4eceaf49-4d96-49ff-99a1-d7f61f086853"},"content":[{"type":"text","text":"(i) notify the Customer without delay, if in the Supplier’s opinion, the Customer’s instructions infringe the applicable data protection legislation;"}]},{"type":"paragraph","attrs":{"localId":"9783a45b-51f0-4cfd-bc28-688aac064884"},"content":[{"type":"text","text":"(ii) at the Customer’s request, provide the Customer with all necessary information, which shows that the Supplier has complied with this Clause 6, Customer’s possible additional instructions and the applicable data protection legislation;"}]},{"type":"paragraph","attrs":{"localId":"ef531f92-020f-48ce-a4b9-eeb558883566"},"content":[{"type":"text","text":"(iii) notify the Customer of possible data breaches immediately and the Supplier shall include at least the following information to the notice: (a) description of the nature of the data breach, including, where possible, the categories and approximate number of data subjects concerned and the categories and approximate number of personal data records concerned; (b) contact details, from where more information can be obtained; (c) description of the likely consequences of the breach; and (d) description of the measures taken or proposed to be taken by the Supplier to address the breach, including, where appropriate, measures to mitigate its possible adverse effects. Should the Customer not notify the Supplier within 7 days from the end of the processing, whether it wishes the personal data to be returned or deleted, the Supplier is entitled to delete the personal data."}]},{"type":"paragraph","attrs":{"localId":"b2cc0c14-7baa-4ae6-8533-9956b45fa77b"},"content":[{"type":"text","text":"The Supplier is entitled to charge for the foregoing measures in accordance with its standard price list valid from time to time. The Supplier shall ensure that the data security is compliant with the applicable data protection legislation. The data security measures that the Supplier applies are further described in the Portal. The Supplier shall ensure that all persons, who are authorized to process the personal data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality. Furthermore, the Supplier shall restrict the access to the personal data only those members of its personnel, who are required to process the personal data in order to fulfill the purposes set out in this Clause 6 or whose work duties directly requires the processing of the personal data."}]},{"type":"paragraph","attrs":{"localId":"9af9eeec-f1fc-4a96-af3f-ed712814013f"},"content":[{"type":"text","text":"Sub-processors.","marks":[{"type":"underline"}]},{"type":"text","text":" The Supplier is entitled to use sub-processors in the processing of the Customer’s personal data. The Supplier shall notify its sub-processors to the Customer at the Customer’s request. The Supplier shall be responsible for the actions/omissions of the sub-processors as for its own. Should there be any changes in the sub-processors, the Supplier shall notify the Customer of such changes. The Customer has the right to object to such changes with reasonable grounds. The Customer shall be deemed to have been accepted the change if it does not notify the Supplier of its objection within 7 days from the Supplier’s notification. If the Customer does not accept the proposed change, the Supplier is entitled to terminate the Agreement with 30 days’ notice period."}]},{"type":"paragraph","attrs":{"localId":"6e877c10-6f95-4ff6-90f9-a95e078f4b45"},"content":[{"type":"text","text":"Audits","marks":[{"type":"underline"}]},{"type":"text","text":". The Customer is entitled to conduct an audit once a year. The Customer shall notify the Supplier of any such audit in writing at least 90 days in advance. The audit can concern only those aspects of the Supplier’s operation, which are directly related to the processing of the Customer’s personal data. The costs of the audit shall be borne by the Customer. The Supplier shall participate in the audit, and it shall provide the Customer with all information necessary for performing the audit. The audit must be performed during normal business hours, and it shall not unreasonably disturb the Supplier."}]},{"type":"paragraph","attrs":{"localId":"cb506ad5-4c3c-41fe-8a62-1209ae8788ed"},"content":[{"type":"text","text":"7. For clarification, the Customer is entitled to grant sub-user rights to the Customer’s account in the Services for its employees. The Supplier may (i) use such data for the provision of the Services and/or Portal to the Customer and (ii) freely exploit (including without limitation to use, modify, have modified, copy etc. or have the same done by its subcontractors on behalf of the Supplier) such data for the development of the Services, its products and its business and for research and evaluation and, provided that the Customer cannot be identified from the data, for other purposes such as marketing. Furthermore, the Supplier shall be entitled to aggregate such data and make aggregated data, which does not allow identification of granular data, available to third parties."}]},{"type":"paragraph","attrs":{"localId":"1293958b-7221-4a40-a504-c398af7b585c"},"content":[{"type":"text","text":"In case the Customer transfers its Equipment, to which this Agreement relates, to a third party, the Customer agrees and accepts that the Supplier may transfer any service logs related to the Equipment to such third party without obtaining a separate consent from the Customer. The terms set out in this Clause 6 below shall apply to any processing performed by the Supplier on behalf of the Customer in connection with the Services. The Supplier processes personal data only for the purpose of providing the Services to the Customer and for the development of the Services, and only for as long as the Supplier provides the Services to the Customer. The Supplier shall ensure that all persons, who are authorized to process the personal data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality. Should there be any changes in the sub-processors, the Supplier shall notify the Customer of such changes. The Customer has the right to object to such changes with reasonable grounds. The Customer shall be deemed to have been accepted the change if it does not notify the Supplier of its objection within 7 days from the Supplier’s notification. The costs of the audit shall be borne by the Customer. The Supplier shall participate in the audit, and it shall provide the Customer with all information necessary for performing the audit.
